Steps for the creation of  a company in Colombia


Steps to be taken when creating a Company in Colombia


1. At the Notary Public

- Draft of the Public Document previously written by the lawyers and forwarded to the Notaria in advance, so proofreading can be done.

- Public Document, which will then be needed at the Chamber of Commerce

- Personal ID of participants - Legal Valid passports in the case of foreigners and Cedula for Colombian Nationals.
- Please send your documents to nfo@notaria68bogota.com so it can be revised by the Notary Public.

- Please remember that the documents must all be written in spanish in order to be validated in a Colombian Notary Public.

2. At the Bogotá Chamber of Commerce:

- Fill out the application form for Registration

- Verify name availability

- Fill out the NIT Application Annex can also be presented at the Dian ( Departamento Impuestos y Aduanas)

  ( Department of Tax  and Customs)

- Pay for the Application


3. At the DIAN ( Department of Tax and Customs)

- Apply and obtain RUT -  Registro Unico Tributario ( Tax Unique Registration )

- Obtain NIT ( Tax Identification Number)

- The NIT or RUT will be needed every year for the presentation of the Income Tax Reports

- The NIT or RUT will also be needed for the IVA ( Sales Tax) on a yearly basis.)

- Other taxes such as Retención en la Fuente- Witholding Tax are presented and paid several times a year.


4. At the Secretaria de Hacienda de la Alcaldía ( Mayors Office Tax Secretary)

- Register Industry and Commerce Tax which has to be presented and paid every two months.

5. At the Bank

-  It is of great importance for banks in Colombia to be able to establish that the funds in your future bank account are of legal origin.


- Please be aware that as a foreigner you are not allowed to open a bank account if you don´t have a Colombian Extranjería Cedula that  can be obtained at Migración Colombia.


- As an alternative you may open the account to the name of a Colombian native legal representative of your company. Such representative is of your  designation.  Or you might prefer to do all the paper work and get your Extranjería Cédula and open it with your name.

“At this moment, when a foreign citizen approaches Migration Colombia for the first time to register his / her visa and apply for the Alien Registration Certificate, he / she will enroll there and the officials of any of the 27 CFSM authorized throughout the country, will inform you when You can go through your new document, which will not exceed eight working days if it is in Bogotá or ten business days in the rest of the country.”


6. Accountant
- You might also need to have a local accountant do a complete balance of your financial status and operations of your company.
